What is InvestBay?

InvestBay is an online real estate investment platform. We bring opportunities to anyone who wants to invest into real estate without having to have lots of free cash in their bank accounts. In addition, InvestBay is the only investment platform that focuses on building a community for individual investors around the world. You can now very easily become a real estate investor and help diversify your portfolio to maximize returns and minimize risks. Who is InvestBay for?

InvestBay is an online platform for anyone who wants to invest directly in specific properties and help diversify their investment portfolio. You can easily invest from as little as €100.

How does InvestBay work?
The process is very simple. First, you need to set up an account on InvestBay. Once you have registered, you can choose the properties in which you want to invest.. You then choose the amount of investment and send the money. This adds the property to your portfolio and you are all set to start earning.
How is InvestBay different from mutual funds?

InvestBay focuses on sub-investments in real estate. Unlike mutual funds, where you as an investor buy a unit of a particular fund and the fund manager responsible for that fund invests (and divests) your money into properties of their choosing. When you invest into a real estate opportunity on the InvestBay platform, first of all you choose which specific property you wish to invest into, based on the information provided to you and your own preferences. Your investment grants you the rights to the proportionate share of the net income from that specific property (both from the net rental income and from net potential capital value increases of the asset over time. You are therefore much more closely connected to your investment than through a mutual fund.

 

InvestBay collects the income and takes responsibility for managing the property which eliminates the hassle of you needing to service and manage the property.

How is the investment secured?
To ensure the maximum security for your investment, we use the services of a “collateral agent” who acts as a guarantor between you, Investbay and the invested property. The property is registered directly with InvestBay, and at the same time as the registration, we enter into a contract with the law firm that has the first lien registered with the Land Registry. Your investment is thus secured by registration in the Land Registry and the advantage is that the operation and profitability of the investment in the property is completely separate from the operation of InvestBay as a company.
Can foreigners also invest?

Yes, although InvestBay offers its services only in the Czech Republic for the time being, it is open to everyone. We have only a few specific countries, for legislative or procedural reasons, whose citizens cannot invest. Afghanistan, Bahamas, Barbados, Botswana, China, Ghana, Iraq, Iran, Jamaica, Jamaica, Mauritius, Mongolia, Myanmar, Nicaragua, Pakistan, Panama, Russia, North Korea, Syria, Trinidad and Tobago, Uganda, USA, Vanuatu, Zimbabwe and Yemen.

What is the minimum investment?
The minimum investment is 100 units with a total value of CZK 2,500 or EUR 100 converted at the current exchange rate. One unit always costs 1 EUR and this price is the same for all investment opportunities. However, you can buy as many units per property as fits your investment strategy.

Who is the supervising state authority?

The Czech Trade Inspection Authority, with its registered office at Štěpánská 44, 110 00 Prague 1, www.coi.cz is the supervisory authority for compliance with the obligations established for consumer protection.

Why do you need the information and documents provided during registration?
We and our partners have to comply with anti-money laundering (AML) obligations, so we need to identify our clients and obtain some additional information. These AML requirements are strictly set out and enforced by the European Union. All investment platforms are obliged to adhere to the same regulations.
What contract do I enter into with InvestBay when I invest?
It is a general  purchase agreement,the key objective of which is to purchase units. The units convey with them the rights detailed in the associated documentation, specifically the “Terms and Conditions” and the “Whitepaper” documents.

Secondary market

What is the secondary market and when will it be launched?

The secondary market will allow investors to sell units to each other. We plan to open it as an extension of InvestBay by the end of 2024.

To whom is the rent dividend allocated?

The dividend is allocated to the unitholder who owns the unit at the relevant time. If the record date is, for example, 31st March for the first quarter period of a given year, all proceeds from the quarter are distributed pro rata to those unitholders who hold the units at the record date. Thus, if Investor A "disposed" of his holding (which he has held since the beginning of the year) on 30th March to “Investor B”, Investor A is not entitled to this dividend and it will be allocated to Investor B.

 

Note: this assumes the standard quarterly distribution but it may differ according to the specific asset. This structure will be defined in the Information Memorandum for that asset.

How is the buying/selling of units on the secondary market handled?
There are 2 categories in the investor portal under the Secondary market tab - supply and demand. If an investor wants to sell his/her unit, they can offer it to other investors and wait for their offer or, alternatively they can also get in touch with an investor who has already expressed an interest in buying a unit. a. Similarly, if you are interested in securing a stake in another project as an investor, you can express your interest by entering it into the demand category or by contacting an investor who has already announced their intention to sell their stake.
How is the value of the unit determined?
Each unit is initially priced at the same price and every year InvestBay issues an update of the property's value for the investment opportunity (this takes into account the growth of the property market, the attractiveness of the property, the estimated selling price and the property's performance over the last year). These estimates serve as the basis for the supply / demand. It is up to investors to decide how much they wish to buy the units for or how much to offer these units for sale on the secondary market.
How does the exchange work?
If two investors agree to exchange, InvestBay acts as an intermediary in their trade. Using an integrated payment gateway, the buyer will pay the fee (the fee is 2% of the agreed amount) and, once paid, InvestBay transfers ownership of the token to the new investor.
What is required to access the secondary market?
In addition to a valid KYC/AML verification, you also need a MetaMask crypto wallet, which you can easily attach to your account. The Metamask wallet (in the Polygon network mode) is powered by the Matic currency, which is used to pay for the computing power to record transactions in the public database (GAS). The exchange of units is only possible on the MetaMask wallet, which is connected to the verified investor's account.
